Terms of Service

Welcome to SubStats. These Terms of Service govern your access to and use of the SubStats platform, website, and related services available through substats.co.za.
By creating an account, starting a trial, subscribing to the service, enabling automatic result logging, or otherwise using SubStats, you agree to these Terms. If you do not agree, you should not use the platform.
1. Introduction
SubStats is a software platform designed to help martial arts gyms, coaches, and related organisations track competition performance. It provides tools to organise competition results, review athlete match history, monitor progress over time, and analyse team performance trends.
These Terms form a binding agreement between you and SubStats. In these Terms, "SubStats", "we", "us", and "our" refer to the operator of the SubStats platform, and "you" or "your" refer to the gym, coach, organisation, or individual using the service.
2. Description of Service
SubStats is a performance tracking and analytics tool for martial arts gyms, with a primary focus on Brazilian Jiu-Jitsu and related competition environments. The platform may allow users to:
- create and manage gym accounts;
- maintain athlete lists and profiles;
- log and organise competition records;
- review match history and outcomes;
- view athlete and team performance dashboards;
- analyse competition trends over time; and
- use automatic result logging features where publicly available data can be identified and matched.
We may update, improve, modify, suspend, or discontinue parts of the service from time to time.
3. Account Registration
To use certain parts of SubStats, you may need to register an account and provide accurate, current, and complete information. You agree that:
- you will provide truthful registration information;
- you will keep your account details up to date;
- you are responsible for maintaining the confidentiality of your login credentials;
- you are responsible for activity that occurs under your account; and
- you will notify us promptly if you suspect unauthorised access to your account.
You must ensure that any person using SubStats on behalf of a gym or organisation is properly authorised to do so.
4. Use of Competition Data
SubStats may collect, organise, and display competition results and related information from publicly available sources. These sources may include public tournament websites, public competition brackets, other publicly accessible result pages, and information observed or recorded by SubStats while physically or virtually present at live events, provided the results are publicly available.
This data may include athlete names, competition events, divisions, match outcomes, placement information, and related competition metadata.
SubStats only collects and organises competition results that are publicly available.
5. Gym Authorisation
SubStats will only collect and organise publicly available competition results relating to athletes from a gym where that gym has provided permission.
By signing up for SubStats or enabling automatic result logging, you confirm that you are authorised to act on behalf of the gym and that the gym agrees to the following:
"I authorise SubStats to collect and organise publicly available competition results relating to athletes from my gym in order to provide performance tracking and analytics within the platform."
You are responsible for ensuring that this authorisation is valid and that your use of the service is appropriate for your organisation.
6. Subscription and Billing
SubStats operates on a subscription basis. Unless otherwise agreed in writing:
- subscriptions are billed monthly;
- subscriptions are billed in advance;
- fees are payable at the start of each billing cycle;
- access to paid features may depend on successful payment; and
- plan features may vary depending on the subscription selected.
SubStats may offer different subscription plans, including for example a Standard plan, where the gym logs results itself, and a Premium plan, where SubStats assists with logging results where publicly available.
All prices, plan features, and billing arrangements may be updated from time to time. Any changes will apply prospectively. You are responsible for paying all applicable fees, taxes, and charges associated with your subscription.
7. Free Trials
SubStats may offer a free trial for a limited period, typically one month, although trial periods may vary. If a free trial is offered:
- the trial is provided for evaluation purposes only;
- trial access may be limited to certain features;
- we may require payment details before the trial begins or before conversion to a paid plan;
- unless stated otherwise, your subscription may convert to a paid subscription at the end of the trial period; and
- you may cancel before the next billing cycle to avoid being charged.
We may modify or withdraw free trial offers at any time.
8. Cancellation and Renewal
Subscriptions renew automatically on a recurring monthly basis unless cancelled before the next billing date. You may cancel your subscription before the start of the next billing cycle. Cancellation will normally take effect at the end of the current paid period, and you will retain access until that period ends unless otherwise stated.
Except where required by law, fees already paid are non-refundable.
9. Acceptable Use
You agree to use SubStats lawfully, responsibly, and only for its intended business purpose. You may not:
- misuse the platform or use it for unlawful purposes;
- attempt to gain unauthorised access to any account, system, or data;
- interfere with, damage, disable, or disrupt the service;
- copy, reverse engineer, probe, scan, or attempt to discover the source code, underlying structure, or security of the platform, except to the extent permitted by law;
- scrape, harvest, or extract data from SubStats without our prior written permission;
- use automated tools, bots, or scripts in a way that places unreasonable load on the service;
- upload or submit malicious code, viruses, or harmful material; or
- use the platform in a way that infringes the rights of others.
We may suspend or terminate access where we reasonably believe there has been misuse or a breach of these Terms.
10. Data Accuracy Disclaimer
SubStats is a performance tracking and analytics tool. It is not an official tournament record system. While we aim to present useful and well-organised information, you acknowledge that:
- competition data may come from publicly available third-party sources or from observations made while physically or virtually present at live events;
- public competition information may contain errors, omissions, delays, or inconsistencies;
- athlete matching or result attribution may not always be perfect; and
- SubStats cannot guarantee that third-party or publicly available competition data will always be accurate, complete, or up to date.
SubStats should not be relied on as the sole or official record of competition results. Official competition records remain the responsibility of the relevant event organiser or official results platform.
11. Intellectual Property
SubStats and its website, software, design, branding, text, graphics, analytics displays, and platform functionality are owned by or licensed to us and are protected by applicable intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the service for your internal business use in accordance with these Terms. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any part of the platform except as allowed by law or with our written permission.
12. Service Availability
We aim to provide a reliable service, but we do not guarantee uninterrupted or error-free availability. SubStats may occasionally be unavailable due to maintenance, updates, technical issues, third-party service interruptions, or circumstances beyond our reasonable control. We may perform maintenance or deploy updates without prior notice where reasonably necessary.
13. Limitation of Liability
SubStats is provided on an "as is" and "as available" basis. To the fullest extent permitted by South African law:
- we make no warranties or representations, express or implied, regarding the service, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability;
- we are not responsible for official competition records, athlete eligibility, competition administration, or competition outcomes;
- we are not liable for inaccuracies in publicly available or third-party competition data;
- we are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption arising from or related to your use of the service; and
- our total aggregate liability for any claim arising out of or relating to the service will not exceed the amount paid by you to SubStats for the service in the three months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.
14. Indemnity
You agree to indemnify and hold harmless SubStats, its owners, operators, contractors, and affiliates against claims, losses, liabilities, damages, costs, and expenses arising from:
- your misuse of the platform;
- your breach of these Terms;
- your violation of law or the rights of any third party; or
- your lack of authority to act on behalf of a gym or organisation.
15. Suspension and Termination
We may suspend or terminate your access to SubStats immediately, with or without notice, if:
- you breach these Terms;
- you fail to pay subscription fees when due;
- we reasonably suspect misuse, fraud, or unauthorised access;
- continued access creates legal, security, or operational risk; or
- we discontinue the service.
You may stop using the service at any time and may cancel your subscription in accordance with these Terms. Upon termination, your right to use the platform ends immediately, but provisions that by nature should survive termination will continue, including provisions relating to fees owed, intellectual property, disclaimers, limitation of liability, indemnity, and governing law.
16. Changes to Terms
We may update these Terms from time to time. If we make material changes, we may notify users by posting the updated Terms on the website, through the platform, or by email. Your continued use of SubStats after updated Terms take effect constitutes acceptance of those revised Terms.
17. Governing Law
These Terms are governed by the laws of the Republic of South Africa. Any dispute arising out of or in connection with these Terms or your use of the service will be subject to the jurisdiction of the courts of South Africa, unless applicable law requires otherwise.
